Florida Commercial Contracts

Many business disputes start with a contract that was signed too quickly. We draft, review, and negotiate the agreements your company signs with customers, vendors, and partners.

Matters we handle

  • Customer and master services agreements
  • Vendor and supply agreements
  • Independent contractor agreements
  • Distribution and sales representative agreements
  • Confidentiality and non-disclosure agreements
  • Terms and conditions of sale
  • Limitation of liability and indemnity clauses
  • Contract templates your team can reuse

Florida law at a glance

  • Contracts for the sale of goods are generally governed by Florida’s version of Article 2 of the Uniform Commercial Code (Chapter 672, Florida Statutes).
  • Under section 57.105(7), a contract clause allowing attorney’s fees to one side is generally treated as reciprocal, so the other side may recover fees if it prevails.
  • Venue, jury waiver, and arbitration clauses decide where and how a dispute will be heard, so they deserve attention before signing.
